This membership agreement is between PRINTING
INDUSTRY EXCHANGE, LLC, P.O. Box 2238, Ashburn, VA 20146 (hereinafter
PIE), and you, the individual or entity using and gaining access
to the PRINTING INDUSTRY EXCHANGE database and member exchange
holding tank.
TRADEMARK: The term PRINTING INDUSTRY
EXCHANGE LLC and logo (hereinafter referred to as the "trademark")
is PIE's trademark and is considered to be proprietary to PIE.
COPYRIGHT: The PIE web site database and member
exchange holding tank (hereinafter referred to as the "material")
contain proprietary material of PIE or material that PIE has
licensed or has been granted permission to use. PIE's trademark
and proprietary material is protected by copyright and other
laws respecting proprietary rights including trademark law and
the law of unfair competition. PIE retains all rights in its
trademark and the material, including all copyright and proprietary
rights worldwide in all media.
User acknowledges that the trademark and the
material (and the licensed or authorized materials contained
therein) is highly proprietary in nature.
User may not use the trademark or material or
any part of it except as expressly permitted by PIE under its
membership application and agreement.
User is expressly prohibited from placing or
installing the trademark or any portion of the material on electronic
media, including but not limited to world wide web sites not
associated with PIE.
User acknowledges that unauthorized copying,
transfer, or unauthorized use of the trademark or the material
may cause PIE irreparable injury that cannot be adequately compensated
for by means of monetary damages.
User agrees that any breach of this agreement
by User may be enforced by PIE by means of equitable relief
(including but not limited to injunctive relief) in addition
to any other available rights and remedies.
If User breaches any portion of this agreement,
PIE may immediately terminate this agreement without prior notice
or refund of monies paid.
User agrees to indemnify, defend and hold PIE
harmless from and against any and all claims from third parties
arising out of or in any way related to User's use of the material.
User (Member) agrees to provide prices direct
to contact person on quote request and NOT market their business
or website by only providing marketing materials either by mail,
fax or email. If this membership agreement term is abused in
this way, PIE will terminate your membership.
